Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern access to and use of the CoachKrew website, web application, mobile application, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service as an individual coach, staff member, athlete, parent, guardian, or other individual user, these Terms apply to you personally for your use of the Service.

If you create a team, invite users, or administer a workspace on behalf of a school, club, athletic program, or other organization, you represent that you have authority to bind that organization to these Terms for that organization's use of the Service, and that organization is also responsible for its use of the Service.

If you are invited to join a team as an athlete, your acceptance applies to your own use of the Service and does not, by itself, bind a school, club, or other organization unless you are separately authorized to do so.

If you are a minor, you may use the Service only with authorization from an appropriate parent, guardian, school, or organization where legally required. These Terms do not claim that a minor can independently enter a binding contract where that would not be valid under applicable law.

2. The CoachKrew Service

CoachKrew is a team-management platform that helps coaches, schools, clubs, and athletic programs organize team operations. Depending on role, team configuration, and product availability, the Service may include features such as rosters, schedules and calendar events, attendance, announcements, playbooks, quizzes, workouts, performance tracking, depth charts, direct messaging, notifications, and related communications.

CoachKrew may operate a public marketing website in addition to authenticated web and mobile applications. Features available on marketing pages, in the web app, and in the mobile app may differ.

3. Eligibility and authority

Users must provide accurate account information and keep it reasonably up to date. Coaches or administrators who create teams represent that they have authority to do so. Users may invite or add only people they are authorized to include on a team.

Organizational representatives represent that they have authority to act for their organization where applicable. CoachKrew does not independently verify every user's authority, school affiliation, parental status, or institutional approval.

4. Accounts and security

Users must protect login credentials, keep account information accurate, and promptly report suspected unauthorized access. Subject to applicable law, users are responsible for activity under their accounts.

Authentication credentials and sessions are managed through CoachKrew's authentication service provider. Users must not share credentials or permit unauthorized persons to access their accounts.

CoachKrew may suspend, restrict, or terminate access when needed to protect users, teams, schools, organizations, or the Service.

5. Team administration, roles, and ownership

CoachKrew supports Head Coach, Assistant Coach, and Athlete roles within team workspaces.

Head Coaches generally manage the team, including staff, athletes, invitations, permissions, and team content, subject to the product's available controls. Team ownership may be transferred through the Service's ownership-transfer process where available. A Head Coach who owns a team may need to transfer ownership or schedule team deletion before certain account-deletion requests can proceed.

Assistant Coaches receive access based on permissions assigned within the team. Athletes receive a more limited view of assigned schedules, announcements, resources, personal information, and other content made available to them.

Access to information may depend on team membership, user role, assigned permissions, content audience, tags or groups, and whether content was assigned to the entire team or selected users.

Organizations and team administrators are responsible for inviting authorized users, assigning appropriate roles and permissions, and reviewing access when responsibilities change. Removing a person from a team may end that person's active access to the team without necessarily deleting every associated historical record.

6. Minors, student users, and parental consent

CoachKrew may be used by schools, clubs, athletic programs, and other organizations in connection with student athletes. Schools and organizations remain responsible for determining whether their use of CoachKrew is authorized under FERPA, institutional policy, consent requirements, or another applicable legal basis. CoachKrew retains its own obligations under applicable law. Additional information is available on our Student Privacy page.

CoachKrew does not currently collect a full date of birth. During the athlete invitation or activation process, CoachKrew asks for an age-status response indicating whether the athlete is 13 years of age or older. A coach may also report an age-status response when inviting an athlete.

When an athlete is identified as under 13, CoachKrew may collect a parent or guardian's email address, consent response, and related consent records. An under-13 athlete does not receive active CoachKrew access until the required parental or guardian consent process for that invitation is completed.

CoachKrew may send consent requests, reminders, approval confirmations, decline confirmations, and activation-related communications when those communications are enabled. CoachKrew does not currently provide a general-purpose parent dashboard or a separate parent account. Granting consent does not create a parent account.

These Terms do not claim that CoachKrew is COPPA compliant, that a school may universally substitute for parental consent in every circumstance, or that the consent method is sufficient verifiable parental consent under every applicable law. Users must not invite children in violation of applicable law.

7. Acceptable use

Users may not:

• Engage in unlawful activity or use the Service for fraudulent purposes
• Impersonate another person or misrepresent affiliation with a school, team, or organization
• Share login credentials or allow unauthorized use of an account
• Access accounts, data, systems, or content without authorization
• Circumvent or attempt to circumvent role-based permissions, audience controls, or other access restrictions
• Harass, abuse, threaten, exploit, or endanger others
• Upload malware, harmful code, or other content intended to interfere with the Service
• Interfere with the availability, security, or integrity of the Service
• Conduct security testing, scanning, or probing without CoachKrew's prior written authorization
• Scrape, harvest, or extract data through automated means without authorization
• Reverse engineer the Service except where such restriction is prohibited by law
• Upload or share content without sufficient rights or authority, including content that infringes intellectual property or privacy rights
• Expose student or child information to unauthorized persons or otherwise misuse student information
• Use the Service for targeted advertising or commercial exploitation of student data
• Use CoachKrew as an emergency-response, medical, legal, or crisis-monitoring service
• Export or transfer information in violation of applicable export, privacy, or data-protection laws

8. User and organization content

Users, teams, schools, and organizations retain their applicable rights in the information and content they submit to CoachKrew. CoachKrew does not claim ownership of customer-submitted personal information or team content.

By submitting information or content, the applicable user or organization grants CoachKrew a limited license to host, store, reproduce, display, transmit, process, back up, secure, support, maintain, and operate that content only as reasonably necessary to provide the Service and meet applicable legal obligations.

This license is not a broad marketing license over private team or student content. CoachKrew does not receive rights to freely use identifiable student content for unrelated purposes. Where CoachKrew uses information to improve platform functionality, that use is limited to operating and improving the Service and may include aggregated or de-identified operational information where appropriate.

Users represent that they have the required rights and authority to submit the content they provide and that their content does not violate applicable law or these Terms.

9. CoachKrew intellectual property

The CoachKrew Service, including its software, source code, design, interface, graphics, logos, trademarks, branding, documentation, and other original materials, belongs to CoachKrew or its licensors. The Service is licensed, not sold. No ownership interest in CoachKrew intellectual property is transferred to users by these Terms.

Users may not copy, modify, distribute, sell, lease, or create derivative works from CoachKrew intellectual property except as expressly permitted by these Terms or applicable law.

10. Feedback

If you voluntarily provide product feedback or suggestions, CoachKrew may use that feedback without obligation to you. Feedback is distinct from private team or student content stored in a workspace.

11. Communications

CoachKrew may send service-related communications, including invitations, verification emails, password-reset emails, security notices, parental-consent emails, notification emails, service announcements, reminders, and other operational messages.

Essential service communications are not optional marketing messages. Users cannot opt out of essential service communications while maintaining an account, although marketing communications, if any are offered later, may be subject to separate opt-out choices where required by law.

12. Subscriptions, trials, and billing

Paid subscription checkout and payment processing are not currently enabled in the Service. Marketing materials may describe pricing, trials, or plan options for informational purposes and do not, by themselves, create a paid subscription.

If and when paid plans become available, CoachKrew will present the applicable price, billing cycle, trial terms if any, renewal terms, cancellation process, taxes if applicable, and any refund terms then in effect before a paid purchase is completed. Those purchase terms will control for the paid subscription.

Athletes are not charged a separate CoachKrew subscription fee under the current public plan messaging.

13. Availability and changes

CoachKrew may maintain, update, improve, suspend, or discontinue features of the Service from time to time, subject to applicable obligations. Maintenance, outages, delays, or interruptions may occur.

CoachKrew does not promise uninterrupted, timely, or error-free service, and availability may vary across the website, web application, and mobile application.

14. Third-party services

The Service depends on third-party infrastructure providers for functions such as hosting, authentication, database services, file storage, transactional email delivery, and mobile push-notification delivery where configured. Those providers may have separate terms and privacy practices. A current list of service providers used to operate CoachKrew is available on our Subprocessors page.

CoachKrew is not responsible for third-party sites or services that are outside CoachKrew's control, except to the extent required by applicable law.

15. Suspension, termination, team removal, and deletion

CoachKrew may suspend or terminate access to the Service for violations of these Terms, security risks, unlawful conduct, requests from an authorized organization that controls a team, discontinuation of the Service, or nonpayment if billing later becomes active and applicable purchase terms are not met.

Team removal is different from account suspension or termination. Removing a user from a team may end that user's active access to the affected workspace without deleting every associated historical record.

Account deletion and permanent team deletion, where available in the product, are governed by the Service's deletion controls and our Privacy Policy. Account and team deletion requests may begin a recovery or cancellation period before permanent deletion begins. CoachKrew does not promise immediate deletion of every record, and some backups, logs, consent records, security records, or legally required information may remain for a limited period.

16. Disclaimers

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis.

CoachKrew is not an emergency service, medical provider, legal advisor, student-safety monitoring service, or substitute for professional medical, legal, or safeguarding advice. CoachKrew does not guarantee athletic performance outcomes, playing time, eligibility determinations, scholarships, recruiting results, or coaching decisions.

CoachKrew is not a guaranteed official educational-records system. Users should not rely on CoachKrew for medical diagnosis, treatment, emergency decisions, safeguarding determinations, or official academic determinations, even though the platform may store performance, height, weight, attendance, workout, or related team information.

Nothing in these Terms is intended to exclude or limit rights or remedies that cannot be excluded or limited under applicable consumer or other law.

17. Limitation of liability

To the fullest extent permitted by applicable law, CoachKrew is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to use of the Service.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations in these Terms apply only to the extent permitted by law. These Terms do not currently state a separate contractual liability cap tied to fees or other amounts.

18. User and organization responsibility

Subject to applicable law, users and organizations are responsible for their unlawful use of the Service; content they submit without authority; infringement of intellectual property or privacy rights; misuse of student or child information; circumvention of permissions; and other material violations of these Terms that cause harm to CoachKrew or others.

CoachKrew may investigate suspected violations and take action it reasonably considers appropriate, including suspending access, removing content, or contacting an organization that controls the relevant workspace. These Terms do not create a separate contractual indemnification obligation beyond the responsibilities described in this section.

19. Governing law and disputes

These Terms are governed by applicable law. Unless and until CoachKrew publishes a more specific governing-law, venue, arbitration, or class-action provision, disputes arising out of or relating to these Terms or the Service will be handled under applicable law without a contractual arbitration requirement stated here.

20. Electronic communications and notices

You consent to receive agreements, notices, disclosures, and other communications electronically, including through the Service or the email address associated with your account. Notices to CoachKrew regarding these Terms may be sent to support@coachkrew.com unless CoachKrew designates another notice method.

21. Force majeure

CoachKrew is not responsible for delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of utilities, hosting providers, or communications networks.

22. Assignment

Users may not assign or transfer these Terms or their rights under them without CoachKrew's prior written consent. CoachKrew may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate, subject to applicable law. These Terms bind permitted successors and assigns.

23. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be interpreted to accomplish its intended purpose to the maximum extent permitted by law.

A failure by CoachKrew to enforce any provision of these Terms is not a waiver of that provision or of the right to enforce it later.

24. Entire agreement and survival

These Terms, together with the Privacy Policy and any additional terms presented for a specific feature or purchase, constitute the entire agreement between you and CoachKrew regarding the Service and supersede prior or contemporaneous agreements on that subject. If a paid subscription later becomes available, the purchase terms presented at checkout will control for that paid subscription.

Provisions that by their nature should survive termination, including ownership of CoachKrew intellectual property, disclaimers, limitations of liability, user responsibility, governing law, and this survival clause, will survive termination or expiration of these Terms to the extent permitted by law.

25. Changes to these Terms

CoachKrew may update these Terms from time to time. When we do, we will revise the "Last updated" date on this page. Material changes may also be communicated through the website, the application, email, or another reasonable method. Continued use after the updated Terms become effective constitutes acceptance where permitted by law.
